Anima holding Spa acquired, from its subsidiary Castello, the operating business unit of Halldis Spa, a company that manages residential properties for rental. The acquisition took place through a recently established instrumental company, Vita Srl.

The consideration for the transaction is EUR 2.6 million in cash. In addition, Halldis acquired 21% of the instrumental company Vita: a put and call mechanism is envisaged on this latter stake, to be exercised after the end of the five-year lock-up period, and whose value will be based on the Ebitda generated in the twelve months prior to the exercise of the option.

As at 31 December 2023, Halldis had 534 real estate units under management in the main Italian tourist resorts, with revenues of around EUR 9 million and profitability in sharp recovery after the severe crisis in the sector linked to the pandemic and the consequent restructuring plan implemented by ownership and management.

In a fast-growing market characterised by the presence of medium-sized and small operators, Castello aims to gain a leading position by offering investors integrated Asset, Fund, and Property management solutions.

CompassRock Real Estate was selected as the industrial partner for the new business, which acquired a 2.95% stake in Vita as part of the cooperation agreement.
