Baxi and Bdr Thermea have completed the acquisition of the Friuli-based company G.I. Holding,
The process had begun in 2023, when a 25 per cent stake was acquired – An Italian industrial platform is being consolidated
Baxi Spa, a company with over a century of experience in the heating and air-conditioning sector, which has its largest European plant in Bassano del Grappa, and BDR Thermea have completed the acquisition of the Italian company G.I. Holding. The deal is part of a strategy to strengthen the company’s position in the commercial HVAC (heating, ventilation and air conditioning) sector.
The process had begun in 2023, when a 25 per cent minority stake was acquired in G.I. Holding, which has production facilities in Latisana, Ronchis and Rivignano (Friuli-Venezia Giulia); the full acquisition now “strengthens strategic and operational alignment and supports the Group’s growth ambitions through to 2030,” the Group stated. It also reinforces the company’s long-term commitment to Italia, which is regarded as a key market and a hub of innovation within Bdr Thermea’s European operations.”
In 2025, Bdr Thermea – a global manufacturer of smart solutions for domestic and commercial environmental comfort, with around 6,500 employees and operations worldwide – recorded a turnover of 1.9 billion euros and serves customers with market-leading brands including Baxi, De Dietrich, Remeha, Brötje, Chappée and Baymak. Its headquarters are in Apeldoorn, the Netherlands.
The Clint brand (heat pumps and chillers), Ktk Klimatechnik (process cooling), Novair (air quality solutions) and Mnotair (data centre cooling) are joining the Bdr Thermea portfolio, accelerating the provision of integrated solutions for the decarbonisation of buildings; this, combined with Baxi’s established presence in the Vicenza area, creates a solid Italian industrial platform within the BDR Thermea network, which comprises 14 production sites across Europe.
Around 300 employees of G.I. Holding in Italia, Hungary, Malaysia and the United Arab Emirates are joining Bdr Thermea; Alberto Favero has been appointed managing director of G.I. Holding, whilst retaining his current role as managing director of Bdr Thermea Italy, to lead the next phase of development and ensure continuity for staff and customers.
