Bologna Fiere acquires a stake in Gambero Rosso and strengthens its position in the Wine & Food sector
The Emilia-based group has acquired a 49.9 per cent stake in the holding company for 5.7 million euros
Bologna Fiere is continuing to diversify its portfolio and is strengthening its position in the Food & Beverage sector.
The group is, in fact, acquiring a stake in Gambero Rosso with an investment of 5.7 million euros. The transaction, according to a statement issued by the trade fair company, involves the establishment of Gambero Rosso Holding, into which Class Editori has contributed over 7.3 million ordinary shares in Gambero Rosso, representing 51.17 per cent of the share capital, whilst retaining a direct 10 per cent stake in the company.
BolognaFiere has acquired a 49.9 per cent stake in the holding company for €5.7 million, financed entirely from its own resources. The agreement also provides for cross-options to buy and sell shares in GR Holding, exercisable from the approval of the 2028 financial statements, and for three out of twelve members of Gambero Rosso’s Board of Directors to be appointed by BolognaFiere, one of whom will serve as vice-chairman.
“BolognaFiere’s acquisition of a stake in Gambero Rosso represents a strategic investment in one of the most authoritative and recognised publishing brands within the Italian agri-food sector,” said Gianpiero Calzolari, Chairman of BolognaFiere. The aim is to strengthen the international presence of Italian excellence in food & wine. “This move is consistent with the BolognaFiere Group’s growth and diversification strategy and with our mission to build platforms capable of connecting businesses, markets and regions, thereby helping to promote ‘Made in Italy’ around the world,” added Calzolari.
