Acquisition boom for Officina Stellare, with Gatg the first listed aerospace cluster is born
New capital resources from capital increases in Global Aerospace Technologies Group totalling EUR 63 million
(Il Sole 24 Ore Radiocor)- Officina Stellare is trading strongly on the Italian Stock Exchange. This morning, with the markets still closed, the company announced the merger with Global Aerospace to create the first Italian listed aerospace centre.
In detail, the boards of directors of Officina Stellare and Global Aerospace Technologies Group - an investment holding company majority-owned by independently managed Investindustrial Growth III SCSp - approved a strategic integration transaction aimed at establishing an industrial pole listed in Italy, highly specialised in advanced technologies for the aerospace and defence sectors and endowed with significant capital resources aimed at growth and positioning among the leaders of the reference markets.
Among the strategic objectives of the transaction is the creation of a new industrial reality that is 'solid and competitive, capable of sustainable growth in national and international markets', also thanks to the new capital resources deriving from the capital increases of Global Aerospace Technologies Group for a total of 63 million euro. The pro-forma figures of the company resulting from the transaction presented a value of production for the year 2024 and for the six months to 30 June 2025 of 76 million and 37 million, respectively, as well as a total order backlog as at 30 June 2025 of 148 million. The agreement will have to be validated by the respective shareholders' meetings, which are indicatively scheduled for January 2026.
As far as the shareholder structure is concerned, it is envisaged that, upon completion of the merger, the investor will become the majority shareholder of Os, with a shareholding of approximately 57.5 per cent, the relevant shareholders will hold a total shareholding of approximately 25.4 per cent and approximately 17.1 per cent will be free float.
