MPS: Delfin commits to participating in Intesa’s OPAS with its 17.6 per cent stake
The Ca’ de Sass offer terms will be put to a vote at the online general meeting
(Il Sole 24 Ore Radiocor) - A potentially decisive turning point in the battle for control of MPS. Delfin, the holding company of the Del Vecchio family – shareholders in Rocca Salimbeni with a 17.6 per cent stake – has undertaken to accept the public takeover bid (OPAS) by Intesa Sanpaolo and to vote at the shareholders’ meeting on 29 October in accordance with the terms of the offer made by the bank led by CEO Carlo Messina. A press release issued by Ca’ de Sass ‘with the consent of the other party’ announces that Delfin ‘has undertaken towards the offeror’ Intesa ‘a commitment to accept the offer’ with its entire stake in MPS. The commitment also covers “attendance at the ordinary and extraordinary general meetings convened by MPS”, “and, at those meetings, ‘voting in a manner consistent with the terms of the offer as at that date’”.
