MPS: Gianluca Brancadoro and Alessandro Caltagirone co-opted onto the Board of Directors
Their appointment replaces two independent directors, both of whom were appointed by the General Meeting of 15 April 2026 and were drawn from the list submitted by the outgoing Board of Directors, which came second in terms of the number of votes received
The Board of Directors of Banca Monte dei Paschi di Siena S.p.A. (BMPS), having met yesterday under the chairmanship of Prof. Cesare Bisoni, proceeded, with the approval of the Board of Statutory Auditors, in accordance with the provisions of Article 2396-undecies of the Civil Code and Article 15 of the BMPS Articles of Association, to appoint, by co-optation, the following as non-executive directors of BMPS: Gianluca Brancadoro (independent) and Alessandro Caltagirone (non-independent).
This appointment was made to replace two independent directors, both of whom were appointed by the General Meeting of 15 April 2026 and were drawn from the list submitted by the outgoing Board of Directors, which came second in terms of the number of votes received. The new Directors will remain in office until the next Shareholders’ Meeting, which will be called upon to vote on their confirmation.
Co-optation process
The selection of the new Board members took place following a specific co-optation process, with the support of the bank’s Nomination Committee, in accordance with the Bmps Articles of Association, which, in a case such as this – where directors elected from a list representing a minority of Board members are to be replaced – stipulate that the Board of Directors shall appoint the co-opted members by selecting the first candidates from amongst those not elected from that list (Article 15, paragraph 10, subparagraph b).
The appointment of the Directors was finalised, as required by current legislation, following the Board of Directors’ prior verification that they met the eligibility criteria and the positive outcome of the subsequent assessment by the European Central Bank.
