Mps, proxy advisor Iss suggests voting for the board of directors list
Support for Palermo as CEO, no to Maione's confirmation as president
Key points
Proxy advisor Iss suggests voting for the board of directors' list in the Mps shareholders' meeting. "While recognising the merits of the list" of Plt Holding (which proposes the current CEO Luigi Lovaglio on the list) "and the validity of some of the arguments put forward by the proponent, a complete renewal of the board at this stage, together with the reinstatement of the outgoing CEO, does not represent a sufficiently convincing proposal at this time," explains Iss, according to which in the "current context, which is far from ideal, the issues relating to the composition" of the board of directors are to be addressed "through a selective vote, candidate by candidate."
The names
Proxy advisor Iss suggests that Mps shareholders should not support the chairman candidate Nicola Maione in the second vote to which the board of directors' list will be subject in the event of a winning result, while recommending that they vote in favour of the election of the CEO candidate Fabrizio Palermo. In the proxy advisor's report, the current chairman of the nominations committee Domenico Lombardi, current board member Alessandro Caltagirone and candidate Elena De Simone are suggested to be rejected. In addition to these names, which are among the top 12 on the board of directors' list (Maione first, Caltagirone fifth, Lombardi sixth and De Simone eleventh), the proxy suggests rejecting the last four: Gianmarco Montanari, Simonetta Iarlori, Francesca Pace and Rosa Cipriotti. Corrado Passera and Carlo Vivaldi are also among the twelve names to vote for.
