Recrowd is back in full operation, with a change in governance and new shareholders
The Bank of Italia’s suspension order against the property crowdfunding platform has been lifted. Capital increase of 5.32 million
Recrowd is back in full operation and is entering a new phase. After just over a year, and following the conclusion of the administrative proceedings aimed at verifying that the issues raised had been resolved, the suspension of the Italian property lending crowdfunding platform imposed by the Bank of Italy has been lifted. During this period, Recrowd implemented the measures set out in its remedial plan and, following the outcome of the checks, is once again in a position to resume full operations.
During the months of suspension, however, the platform was still able to continue monitoring activities relating to projects already underway at the time of the order, returning over €35 million in principal and interest to investors and bringing the total amount returned since the start of operations – dating back to 2019 – to over €162 million.
The capital increase and the new governance structure
The main change within the new structure of the property crowdfunding company is, first and foremost, its governance. Giorgio Luca Bruno will serve as chairman of the new board of directors, whilst Andrea Clamer will take on the role of chief executive officer. The two will thus work alongside the co-founders, Gianluca De Simone and Simone Putignano. This change in governance goes hand in hand with the establishment of a more structured organisational framework, which now includes an executive committee tasked with supporting the board of directors and providing cross-checks on decisions.
The new structure also involves further injections of capital. Between October 2025 and the end of August 2026, two capital increases were carried out, amounting to 3.3 million and 2.02 million respectively, for a total of 5.32 million. New shareholders took part in these transactions, joining the existing long-standing shareholders.
Multi-level control
Following on from the remedial plan, the company has also changed its control system. The new model separates operational functions from control functions and provides for a multi-tiered structure. Risk management and compliance constitute the second-tier controls, whilst internal audit operates at the third tier. In order to ensure impartiality and a structured approach to managing conflicts of interest, the company has entrusted control functions to independent third parties, with a clear separation between the function that proposes transactions and the one that assesses them.
