Small-cap companies under the microscope: Sys-Dat’s net profit has soared by 22.6 per cent
These are the figures for the first six months of 2026. Profits stand at 3.9 million euros. The company is heavily traded on the Milan Stock Exchange
Key points
‘Some people say Ai killed it’. It’s not Sys-Dat, and they’re certainly right, given that the only IPO on Euronext Milan in 2024 (listings on the main market have been scarce for some time now) has so far stood out for its excellent results, which were confirmed again in the first half of 2026.
The figures
In fact, the group’s operating revenue rose by 15.1 per cent to 51.8 million (+7.4 per cent on an organic basis; Sys-Dat has long been pursuing a growth strategy through acquisitions, which it intends to continue in the future), EBITDA jumped by 23.7 per cent to 10.2 million, EBIT by 31.3 per cent to 5.9 million and net profit by 22.6 per cent to 3.9 million, with the tax rate rising from 34.4 per cent to 35.9 per cent.
We have mentioned growth through external expansion, and in 2026, the company acquired et.ics Srl (specialising in software services and solutions for businesses with on-site staff and cybersecurity services), as well as a 25 per cent stake in Technis Blu Srl (vertical SAP solutions in the manufacturing, Food & Beverage, healthcare and public administration sectors) and the remaining 30 per cent stakes in the subsidiaries Humatics Srl and VCube Srl, which were subsequently merged into Sys-Dat Verona Srl. Payment for et.ics Srl is deferred between 2026 and 2029, alongside an earn-out plan based on performance in 2026–2028.
The cost of acquiring the stake in Technis Blu Srl was 0.3 million; there is a put and call option on the remaining 75 per cent, which will be exercised following the filing of the acquired company’s 2028 financial statements, in line with the usual multiples for such acquisitions (5 times the EV/EBITDA multiple at the end of 2028). It should be noted that, in order to align Technis Blu Srl’s financial structure with the group’s policies, the share capital was reduced by 1.2 million to cover pre-acquisition losses, whilst at the same time a capital increase of 0.8 million was carried out, partly funded by an interest-free loan from third-party shareholders amounting to 0.6 million, secured against future payments from the put and call option.
The group has net cash despite acquisitions and capital expenditure
Moreover, as at 30 June 2026, Sys-Dat had net cash of 16.4 million (broadly in line with the 17.4 million at the end of 2025), despite acquisitions totalling 5.4 million, capital expenditure of 3.6 million (of which 2 million was allocated to research and development) and the distribution of dividends totalling 1.24 million (a 2025 payout ratio of 17.9 per cent, and therefore very prudent) paid on 20 May 2026, and share buy-backs totalling 3.17 million.
