Tim: on the final day of the takeover bid, acceptance stands at 46.5 per cent, with Poste holding a 66.6 per cent stake – 2 –

(Il Sole 24 Ore Radiocor) - According to a statement from Poste Italiane, based on the provisional results reported by the intermediaries responsible for coordinating the acceptance of the offer, as of today, 993,608,722 TIM shares have been tendered under the offer, representing approximately 46.523 per cent of the issuer’s share capital and 58.230 per cent of the shares subject to the offer.

Poste Italiane has not purchased any TIM shares outside the offer during the period between the date of the offer document and today. Taking into account the 993,608,722 TIM shares tendered in response to the offer during the acceptance period, according to the provisional results set out above (representing approximately 46.523% of TIM’s share capital) and the 429,363,990 TIM shares already held by Poste (representing approximately 20.104 per cent of TIM’s share capital), should the provisional results of the offer be confirmed, the offeror will hold a total of 1,422,972,712 TIM shares, representing approximately 66.627% of the share capital.

Poste notes that, in its press release of 7 September, it announced that it was waiving the threshold condition. With regard to the other conditions for the offer to take effect which have not yet been fulfilled as at today’s date, Poste will announce, as set out in the offer document, whether such conditions have been satisfied or not; or, in the event that one or more of these conditions for the offer to take effect have not been satisfied, whether they have been waived, by means of a press release on the final results of the offer, which will be published by 7.29 am on 17 September 2026.
