Russia passes law preventing the return of foreign companies
The aim is to use legal means to prevent foreign investors from repurchasing property sold in the country following the start of the invasion of Ukraine
The State Duma of the Russian Federation has passed, at its third reading, a law setting out the conditions for preventing, through the courts, the repurchase by foreign investors of property sold in Russia following the start of the so-called ‘special military operation’ in Ukraine.
Since February 2022, a number of foreign investors have sold their Russian companies, stipulating in the contracts that they may repurchase them under pre-agreed terms.
According to the document, which introduces amendments to the Law ‘On Foreign Investment’, the Russian side will be able to exercise its right to withdraw from such agreements exclusively through the courts, by bringing a case before the Moscow Region Arbitration Court. Proceedings may be initiated either by the purchaser of the business or by the ministry responsible for the relevant economic sector. The new rules will apply exclusively to transactions concluded after 22 February 2022 by investors linked to states deemed hostile by the Russian government.
